Introduction

These Terms of Service ("Terms") govern your access to and use of the PortalPix mobile application ("PortalPix" or the "App") and related services (collectively, the "Services") operated by HA NOI WAREHOUSING DEVELOPMENT JOINT STOCK COMPANY ("we", "us", or "our").

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

PortalPix is an AI-powered image generation app. It allows users to upload a photo, choose an artistic style, and generate stylized images using our AI generation service. Uploaded photos are processed on servers located in the United States and are deleted from our servers after generation is complete. We do not use your uploaded photos, generated images, or other user content to train our AI models.

These Terms apply only to PortalPix and the Services identified above. Other products, websites, applications, or services may have their own terms and policies.

1. Description of Services

PortalPix provides AI-powered image generation tools that allow you to:

• Upload photos from your device for AI image generation
• Select artistic styles and generation parameters
• Generate stylized images based on your uploaded photos
• View, save, forward, share, and manage generated images
• Access an in-app gallery for generated images
• Use an in-app coin system for AI generation credits
• Sign in with Apple, Sign in with Google, or use the App in guest mode where supported
• Delete individual generated images or delete your account and associated data

We may change, improve, suspend, or discontinue any part of the Services at any time. We do not guarantee that any particular feature, style, output, or functionality will always be available.

AI-generated results may vary. The App does not guarantee that generated images will meet your expectations, be accurate, be suitable for a particular purpose, or be free from visual defects, artifacts, or unexpected content.

2. Eligibility

You must be at least 13 years old to use PortalPix. If you reside in the European Economic Area (EEA), you must be at least 16 years old to use PortalPix.

If you are under 18 years old, or under the age of majority in your jurisdiction, you may use the Services only with the supervision and consent of a parent or legal guardian. The parent or legal guardian is responsible for the minor's use of the Services and for ensuring that the minor complies with these Terms.

You may not use the Services if:

• You are legally prohibited from using the Services
• We have previously suspended or terminated your access for violating these Terms
• Your use would violate applicable laws, regulations, or third-party rights

By using PortalPix, you represent that you meet these eligibility requirements and that any information you provide to us is accurate.

3. User Accounts and Account Security

PortalPix supports Sign in with Apple and Sign in with Google for account authentication. When you sign in with Apple, we may receive your Apple ID email address, which may be a private relay email address, and your name if you choose to share it. When you sign in with Google, we may receive your Google account email address, display name, profile picture URL, and a unique Google user identifier. We do not receive, collect, or store your Apple or Google password. You can review or revoke PortalPix's access to your Google account at any time from your Google Account permissions page.

PortalPix may also support guest use. Guest user data is stored locally on your device and may be deleted when you log out, uninstall the App, or clear local App data.

You are responsible for maintaining the confidentiality and security of your account and device. You are responsible for all activity that occurs through your account or guest session. You agree to notify us promptly if you suspect unauthorized access to your account or any security issue affecting the Services.

We are not responsible for loss or damage caused by your failure to keep your account, device, or authentication method secure.

Account Deletion

You may delete your account using the "Delete My Account" feature in the App. When account deletion is completed, your associated account information, coin balance, transaction history, and server-stored generated images are deleted permanently. Account deletion is irreversible once completed.

4. Privacy

Please review our Privacy Policy for information about how we collect, use, disclose, store, and delete information in connection with the Services. The Privacy Policy is incorporated into these Terms by reference.

The Privacy Policy explains, among other things, that:

• Uploaded photos are transmitted to and processed on servers located in the United States
• Uploaded photos and intermediate processing files are deleted from our servers after generation is complete
• Generated images are stored on our servers associated with your account so you can access and manage them
• You may delete individual generated images or delete all account-associated generated images by deleting your account
• We do not use uploaded photos, generated images, or other user content to train our AI models
• We use the Adjust SDK for mobile measurement and marketing attribution purposes, subject to your App Tracking Transparency (ATT) permission on iOS; we do not use advertising networks or other third-party tracking tools

5. User Content

"User Content" means photos you upload to PortalPix, generation parameters or style selections you provide, generated images produced through the Services, and any other content or material you submit, upload, create, store, save, forward, or share through the Services.

Your Responsibility for User Content

You are solely responsible for your User Content and for how you use, save, forward, share, publish, or otherwise make use of generated images. You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to upload and use your User Content
• You have obtained all necessary consent from any person depicted in your uploaded photos
• Your User Content does not infringe or violate any copyright, trademark, privacy right, publicity right, image right, contractual right, or other legal right of any person or entity
• Your User Content complies with these Terms and all applicable laws
• You will not upload photos of another person without appropriate permission

You are responsible for any claims, losses, damages, royalties, fees, or liabilities arising from your User Content or from your use of generated images.

Ownership of User Content

As between you and us, you retain ownership of your uploaded photos and other User Content you provide. PortalPix does not claim ownership of your uploaded photos.

AI-generated content laws may vary by jurisdiction and may change over time. We do not provide legal advice and do not guarantee that any generated image will be eligible for copyright protection, free from third-party claims, or usable for every purpose. You are responsible for determining whether and how you may use generated images in your jurisdiction and context.

License You Grant to Us

By uploading or submitting User Content to PortalPix, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, transmit, process, reproduce, modify, and display your User Content solely as necessary to:

• Provide the AI image generation Services you request
• Store generated images in your in-app gallery and account where applicable
• Enable App features such as viewing, saving, forwarding, sharing, and deleting generated images
• Enforce content safety filtering and these Terms
• Comply with applicable law and valid legal requests

This license does not permit us to use your uploaded photos or generated images to train our AI models. For uploaded photos and intermediate processing files, this license ends when generation is complete and those files are deleted from our servers. For generated images stored with your account, this license continues only for as long as necessary to provide the Services to you or until the images or your account are deleted, subject to legal obligations.

Content Safety and Enforcement

We implement content safety filtering for AI generation requests. We may reject, cancel, remove, disable access to, or refuse to process User Content or generation requests that we believe violate these Terms, applicable law, or our content safety standards.

AI systems may still produce unexpected, inaccurate, offensive, or inappropriate results. You are responsible for reviewing generated images before saving, forwarding, sharing, publishing, or otherwise using them.

6. Prohibited Behavior and Content

You agree to use the Services responsibly and lawfully. You may not use PortalPix to engage in any conduct that is illegal, harmful, abusive, deceptive, infringing, or otherwise objectionable.

Prohibited Behavior

You agree not to:

• Use the Services for any illegal purpose or in violation of applicable law
• Upload, generate, save, forward, share, or publish content that violates these Terms
• Use photos, names, likenesses, or personal information of others without required permission
• Infringe or violate any copyright, trademark, trade secret, privacy, publicity, image, contractual, or other third-party right
• Harass, threaten, intimidate, defame, impersonate, exploit, or harm any person
• Interfere with, disrupt, overload, damage, or impair the Services or related servers, systems, or networks
• Attempt to gain unauthorized access to the Services, user accounts, servers, systems, or databases
• Reverse engineer, decompile, disassemble, decrypt, scrape, crawl, copy, modify, host, sublicense, resell, or create derivative services based on PortalPix, except where such restriction is prohibited by law
• Use automated systems, bots, scripts, or other non-human methods to access or manipulate the Services
• Circumvent content safety filters, usage limits, payment systems, or technical protections
• Use the Services in a way that could harm our business operations, reputation, users, or the integrity of the Services
• Upload or transmit malware, viruses, harmful code, or other destructive material
• Use the Services to advertise, promote, or sell third-party products or services without our prior written consent

Prohibited Content

You may not upload, generate, save, forward, share, publish, or otherwise use content that:

• Is illegal, harmful, abusive, fraudulent, deceptive, harassing, threatening, intimidating, obscene, or otherwise objectionable
• Sexualizes any person without consent or sexualizes minors in any way
• Exploits, harms, or endangers children
• Promotes violence, self-harm, terrorism, criminal activity, hate, discrimination, or harassment
• Reveals private or personal information without consent
• Misleads others by depicting real people in a deceptive, defamatory, or harmful manner
• Violates any person's privacy, publicity, image, or other personal rights
• Infringes copyrights, trademarks, or other intellectual property rights
• Contains malware, viruses, harmful files, or harmful instructions
• Is intended to deceive, defraud, manipulate, or cause harm

We may investigate suspected violations and may cooperate with law enforcement, regulators, or rights holders where appropriate.

7. Limited License; Copyright and Trademark

PortalPix, including the App, software, AI technology, algorithms, models, design, interfaces, text, graphics, images, icons, trademarks, trade names, logos, style templates, and other materials provided by us or our licensors (collectively, "PortalPix Content"), is owned by us or our licensors and is protected by intellectual property and other laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, access, and use PortalPix on Apple-branded devices that you own or control, solely for your personal, non-commercial use and in accordance with Apple's Usage Rules and these Terms.

You may not use PortalPix Content except as expressly permitted by these Terms. You may not remove, alter, or obscure copyright, trademark, or other proprietary notices in the App. All rights not expressly granted to you are reserved by us and our licensors.

No ownership interest in PortalPix, PortalPix Content, or our intellectual property is transferred to you by your use of the Services.

8. In-App Purchases and Coin System

PortalPix uses an in-app coin system for AI image generation credits. Each generation may consume a specified number of coins as shown in the App.

Coins may be purchased through Apple in-app purchases. Apple processes payments and manages payment information according to Apple's own terms and policies. We do not collect or store your payment card, bank account, or other payment credentials.

By purchasing coins, you acknowledge and agree that:

• Coin prices, packages, bonuses, and generation costs may change
• Coins are digital credits for use only within PortalPix
• Coins have no cash value and cannot be exchanged for money, goods, or services outside the App
• Coins cannot be transferred, sold, assigned, or exchanged between users or accounts
• Purchases are final and non-refundable except as required by law or Apple's refund policy
• Refund requests for Apple purchases must be submitted through Apple
• Coins may be forfeited if your account is deleted, suspended, or terminated, except where prohibited by law
• We may modify, suspend, or discontinue the coin system or paid features, subject to applicable law

Your coin balance is stored on our servers as part of your account information.

9. Copyright Infringement and Rights Complaints

We respect intellectual property rights and expect users to do the same. We do not knowingly permit the Services to be used to infringe the rights of others.

If you believe that content available through PortalPix infringes your copyright, trademark, privacy right, publicity right, image right, or other legal right, please contact us at [email protected] with information sufficient for us to review your complaint.

Your notice should include, where applicable:

• Your full name and contact information
• A description of the right you believe has been infringed
• Identification of the content or material at issue and information reasonably sufficient for us to locate it
• A statement explaining why you believe the content is unauthorized or infringing
• A statement that the information in your notice is accurate
• Your physical or electronic signature

We may remove or disable access to content that we believe infringes rights or violates these Terms. We may also suspend or terminate users who repeatedly or seriously infringe rights.

Knowingly submitting false or misleading claims may result in legal responsibility for damages, costs, and fees.

10. Feedback

If you send us questions, comments, ideas, suggestions, bug reports, feature requests, creative concepts, or other feedback about PortalPix or the Services ("Feedback"), you agree that the Feedback is not confidential.

You grant us the right to use, copy, modify, publish, distribute, and otherwise exploit Feedback for any purpose, including improving or developing products and services, without compensation or obligation to you. If we choose to make Feedback public, we will not intentionally include your personal information unless you have consented or unless permitted by law.

11. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless HA NOI WAREHOUSING DEVELOPMENT JOINT STOCK COMPANY, its affiliates, officers, directors, employees, agents, licensors, suppliers, contractors, and representatives from and against any claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable attorney's fees, arising out of or related to:

• Your access to or use of the Services
• Your User Content or Feedback
• Your use, saving, forwarding, sharing, publishing, or other exploitation of generated images
• Your violation of these Terms
• Your violation of applicable law or third-party rights
• Any unauthorized use of another person's photo, name, image, likeness, personal information, or intellectual property

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims. Your indemnification obligations survive termination of these Terms and your use of the Services.

12. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

We do not warrant or represent that:

• The Services will be uninterrupted, secure, error-free, or available at all times
• The Services will meet your expectations or requirements
• AI-generated results will be accurate, complete, suitable, lawful for your intended use, or free from third-party claims
• The Services or generated images will be free from defects, artifacts, bias, offensive content, or unexpected results
• Any stored generated image or account data will always remain available

AI technology is inherently probabilistic and may produce unexpected or inappropriate results. You use the Services and generated images at your own risk.

If you are dissatisfied with the Services or these Terms, your sole remedy is to stop using the Services, except where applicable law provides otherwise.

13. Limitation of Liability

To the fullest extent permitted by law, HA NOI WAREHOUSING DEVELOPMENT JOINT STOCK COMPANY and its affiliates, officers, directors, employees, agents, licensors, suppliers, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, personal injury, emotional distress, or other similar damages arising out of or related to the Services, User Content, generated images, or these Terms, whether based on contract, tort, negligence, strict liability, warranty, or any other legal theory.

To the fullest extent permitted by law, our total liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of: (a) the amount you paid to use PortalPix in the twelve (12) months before the event giving rise to the claim; or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the limitations above apply only to the greatest extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Vietnam, without regard to conflict of law principles, except where applicable consumer protection or other mandatory laws require otherwise.

If a dispute arises from or relates to these Terms or the Services, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. If the dispute cannot be resolved informally, either party may bring the dispute before the competent courts of Vietnam, unless applicable law requires another forum.

Nothing in these Terms limits either party's right to seek injunctive or equitable relief for actual or threatened misuse of intellectual property, unauthorized access, or other urgent harm.

15. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Effective Date" at the top of these Terms and may provide notice through the App, email, or other reasonable means.

If you do not agree to the updated Terms, you must stop using the Services. Your continued use of the Services after the updated Terms become effective means that you accept the updated Terms.

16. Electronic Communications

By using PortalPix, you agree that we may provide notices and communications electronically, including through the App, by email, or by posting updated terms or policies. These electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

Operational communications may include account, security, purchase, policy, feature, or service-related notices. You may not opt out of essential operational communications while using the Services.

17. Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, created risk or possible legal exposure for us or others, or used the Services in a harmful or unlawful manner.

You may stop using the Services at any time. You may also delete your account through the App where available.

Upon termination:

• Your right to access and use the Services ends immediately
• Your account access may be disabled
• Your coin balance may be forfeited without refund or compensation, except where prohibited by law
• Account-associated generated images and other data may no longer be available
• Provisions that by their nature should survive termination will survive, including ownership provisions, User Content responsibilities, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous provisions

18. Export and Economic Sanctions Control

You may not use, export, reexport, import, or transfer PortalPix or related technology except as authorized by applicable laws, including Vietnamese law, United States export control and sanctions laws, and the laws of the jurisdiction in which you use the Services.

You represent and warrant that:

• You are not located in a country or region subject to applicable embargoes or comprehensive sanctions
• You are not listed on any applicable restricted party, denied party, or sanctions list
• You will not use the Services for any prohibited end use or in violation of applicable export control or sanctions laws

19. Additional Terms Applicable to iOS Devices

These Terms are between you and us, not Apple. Apple is not responsible for PortalPix or its content.

The license granted to you is limited to using PortalPix on Apple-branded products that you own or control, and as permitted by Apple's Usage Rules in the App Store Terms of Service.

You and we acknowledge and agree that:

• Apple has no obligation to provide maintenance or support for PortalPix
• Apple is not responsible for any product warranties for PortalPix
• If PortalPix fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, as required by Apple's policies; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to PortalPix
• We, not Apple, are responsible for addressing claims relating to PortalPix, including product liability claims, legal or regulatory compliance claims, consumer protection claims, and intellectual property infringement claims
• You must comply with applicable third-party terms when using PortalPix
• You represent that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, Apple has the right to enforce these Terms against you as a third-party beneficiary

22. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any additional terms presented in the App, constitute the entire agreement between you and us regarding PortalPix and supersede all prior or contemporaneous agreements or understandings regarding the Services.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment: You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, corporate transaction, or by operation of law.

No Agency: No agency, partnership, joint venture, employment, or franchise relationship is created by these Terms.

Third-Party Beneficiaries: Except for Apple and Apple's subsidiaries as stated in Section 19, these Terms do not create any third-party beneficiary rights.

Language: These Terms are written in English. To the extent permitted by law, you waive any right to require localization or non-electronic record delivery and retention.
